Service Agreement

1. Service Scope

TiotLabs Pvt Ltd ("Company") provides custom software development, IoT solutions, and related technology services ("Services") to clients ("Client") on a project basis.

2. Project Engagement

• 2.1 Project Definition: Each project will be defined through a separate Statement of Work (SOW) that outlines specific deliverables, timelines, and costs.
• 2.2 Timeline: Project timelines are estimates and may be adjusted based on scope changes, client feedback cycles, and technical requirements.
• 2.3 Client Responsibilities: Client agrees to provide necessary information, access, and timely feedback required for project completion.

3. Intellectual Property

• 3.1 Client IP: Upon full payment, all custom-developed code and designs specifically created for the Client become the property of the Client.
• 3.2 Company IP: TiotLabs retains ownership of pre-existing tools, frameworks, libraries, and general methodologies used in project delivery.
• 3.3 Open Source: Any open-source components used will be clearly identified and subject to their respective licenses.

4. Payment Terms

• 4.1 Payment Schedule: Payment terms will be specified in each SOW, typically structured as milestone-based payments.
• 4.2 Late Payments: Invoices are due within 30 days. Late payments may result in project suspension until payment is received.

5. Warranty and Support

• 5.1 Warranty Period: TiotLabs provides a 90-day warranty for bug fixes on delivered software from the date of final delivery.
• 5.2 IoT Hardware: Hardware components are subject to manufacturer warranties. TiotLabs provides integration support but does not warrant hardware reliability.
• 5.3 Ongoing Support: Post-delivery support and maintenance services are available under separate agreements.

6. Limitation of Liability

TiotLabs' liability for any project shall not exceed the total amount paid by the Client for that specific project. TiotLabs is not liable for indirect, incidental, or consequential damages.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the project engagement. This includes technical specifications, business processes, and any sensitive data.

8. Termination

Either party may terminate the agreement with 30 days written notice. Client remains responsible for payment of all work completed up to the termination date.
